1. Who we are and what this is
FreightX (Pty) Ltd (“FreightX”, “we”) operates the FreightX platform — the website, the API, and the FreightX Driver app — a marketplace that connects shippers (“Clients”) with road transport operators (“Transporters”) in South Africa. These terms govern every use of the platform by Clients, Transporters, their staff, and drivers (“you”). By registering, you accept them on behalf of your company.
2. Our role
FreightX is a marketplace and escrow-settlement platform. We are not a carrier, freight forwarder, or logistics broker. The contract of carriage for every load is between the Client and the Transporter that accepts it. We vet participants, hold funds in escrow, and enforce the process rules described here; we do not take possession of cargo and are not liable for its loss or damage except as expressly stated in the Insurance section.
3. Accounts and verification
- Companies must be registered in South Africa and complete document verification before transacting. You warrant that every document you upload is authentic and current.
- You are responsible for everyone who acts under your account, including drivers you invite. Keep credentials confidential; enable two-factor authentication.
- We may suspend an account at any time for a suspected breach, a lapsed document, an unresolved incident, or a regulatory requirement. Suspension stops new transactions but does not cancel obligations on live trips.
4. Loads, offers and bookings
- A posted load is an invitation to treat. A booking arises when a Transporter accepts a fixed-price load, the Client accepts a bid or counter-offer, or a Transporter joins a bulk draw-down.
- Clients must describe cargo accurately, including cargo value, commodity, weight, and special handling. Dangerous goods must be declared.
- Quantities on multi-load postings and remaining tonnage on bulk loads are allocated first-come, atomically. Over-acceptance is impossible by design and is not a basis for claims.
5. Trip declaration and anti-subcontracting
Before loading, the Transporter must declare the exact vehicle, trailers, and driver for the trip. The registration numbers and driver identity must match the verified documents on file. Subcontracting a booked load to a vehicle or driver not declared and verified on the platform is a material breach that entitles the Client to cancel without penalty, voids any platform insurance cover, and may lead to permanent removal.
6. Execution obligations
- Transporters must keep the FreightX Driver app active during live trips so that milestones and GPS positions are recorded, and must capture weighbridge slips (bulk) and a signed proof of delivery.
- Clients must have cargo ready within the pickup window and provide safe loading and offloading points.
- Incidents (theft, hijacking, accident, damage, breakdown) must be reported through the platform immediately and, for theft or hijacking, to the SAPS.
7. Money: wallet, escrow, commission
- The FreightX wallet is a prepaid credit balance (1 credit = R1) funded through our payment gateway. Wallet balances are not interest-bearing and are not a deposit-taking product. ⚠️ Regulatory position under review.
- Trip amounts are held in escrow from the Client's wallet at acceptance (unit) or at the loading weighing (bulk). Held funds cannot be withdrawn until released or refunded.
- On the Client's delivery confirmation, escrow releases to the Transporter's wallet minus the platform commission (a percentage with a minimum fee, published on the pricing page ⚠️). Approved additional costs settle with the release.
- If a Client does not confirm or dispute within five days of a signed POD, FreightX may release the escrow after review.
- Transporters withdraw to a verified bank account in their company name. Minimum withdrawal amount and any fee are published on the wallet page ⚠️.
8. Cancellations
Cancellation is free until a trip is funded. Thereafter tiered fees apply (published on the trip page before you confirm) ⚠️. A bulk trip cannot be cancelled by the Client once loaded and weighed. See the Refunds policy.
9. Disputes and incidents
Either party may open a dispute on a trip; doing so freezes settlement until FreightX resolves it under the Disputes policy. Reporting an incident likewise freezes settlement pending investigation and, where applicable, an insurance claim.
10. Insurance
Transporters must hold goods-in-transit insurance adequate for the loads they accept; we read the cover amount from the verified policy schedule and only match loads within it. FreightX holds its own platform goods-in-transit and public liability cover subject to per-load and per-event limits; loads above those limits require special placement before posting. Platform cover is secondary to the Transporter's policy and subject to the insurer's terms, excesses, and exclusions ⚠️.
11. Ratings and content
Ratings must be honest and relate to the trip. We may remove content that is defamatory, discriminatory, or unrelated. You grant us a licence to display content you post on the platform.
12. Data
We process personal information under the Privacy policy and POPIA. Vetting documents are stored securely, access is audit-logged, and they are retained as required by law and by insurers.
13. Liability
To the extent permitted by the Consumer Protection Act and other applicable law, FreightX's aggregate liability to you for any claim arising from the platform is limited to the commission earned by FreightX on the trip concerned in the preceding twelve months. We are not liable for indirect or consequential loss, or for the acts or omissions of any Client, Transporter, or driver.
14. Termination
You may close your account once no trips are live and your wallet balance is zero or withdrawn. We may terminate for breach with notice, or immediately for fraud, safety, or regulatory reasons. Sections 7, 9, 12, and 13 survive termination.
15. General
These terms are governed by the laws of the Republic of South Africa. Disputes not resolved under the Disputes policy may be referred to the courts of Gauteng or, where applicable, the Consumer Goods and Services Ombud. We may update these terms with 30 days' notice on the platform; continued use is acceptance.
